Affiliate Terms

1. Who this is between

These terms are between you, the affiliate, and LemonLens LTD (company number 15638629, registered office 769b Fulham Road, London, United Kingdom, SW6 5HA), which runs lemon.gallery (“we”, “us”). They apply from when you tick the box on the application form. If you also have a lemon.gallery studio account, our Terms of Service cover that account and these terms cover the programme. Our Privacy Policy explains how we handle your data.

You must be 18 or over and able to make a binding agreement, and you join on your own behalf as an independent business or self-employed person. Being an affiliate doesn’t make you our employee, agent or partner, and you can’t make promises on our behalf.

We review applications by hand and can say no without giving a reason. You’re an affiliate once we email you your code, your link and your private portal link.

2. Which sign-ups count

3. What you earn

4. When you’re paid

5. Refunds and disputes

If a payment you earned commission on is refunded in full, or lost to a card dispute (chargeback), the commission on it is cancelled. If it had already been paid to you, we take it off the commission you earn next. We won’t ask you to send money back for it.

6. How you can promote us

We can ask you to change or take down anything that breaks these rules, and you’ll do it within 2 working days (Monday to Friday, not counting bank holidays in England). If you break them we can end your account straight away and keep back commission that came from the breach.

7. Our name and logo

You may use the name lemon.gallery and the logo we give you, only to promote lemon.gallery under these terms. Don’t change them, or use them in your own business name, handles or web addresses. Stop using them when your account ends.

8. Data

For each studio you referred, your portal shows the day it joined, its plan, whether it pays and what it has earned you. We never give you its name or contact details, and you mustn’t try to work out who it is from what we show. If you collect people’s details yourself, for example on a mailing list, looking after them under data protection law is your job.

9. Tax

We pay commission as a gross amount and don’t take any tax off it. You’re responsible for telling HMRC (or your own country’s tax authority) about it and paying any tax and National Insurance due. Commission includes any VAT: if you’re VAT registered, account for it out of what we pay you. We may ask you for details we need for our own tax records.

10. Ending it

You can stop being an affiliate at any time by emailing us. We can end it at any time too, by telling you. From then your link stops earning. Commission you earned before that still clears, and within 60 days of the last of it clearing we pay you everything cleared, whatever the amount, unless we ended it because you broke section 6; then we can keep back what came from the breach.

We can also pause your account while we look into a suspected breach. While it is paused your link doesn’t earn and we don’t pay out, and we’ll tell you what we’re looking into.

11. Liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else the law doesn’t let us limit. Apart from that, neither of us is liable to the other for indirect loss or lost profits, and our total liability to you is limited to the commission due to you under these terms plus £100. You’re responsible for what you post, and you’ll cover our reasonable costs of any claim against us that comes from your breaking section 6.

12. Changes

We may change these terms or the commission and discount rates. We’ll email you at least 30 days before a change takes effect, and if you don’t want it you can leave before then. A change never reduces commission you’ve already earned.

13. The rest

These terms, with your rate and anything extra we confirm to you by email, are the whole agreement about the programme. Nobody else can enforce them. If a court decides part of them can’t be enforced, the rest still applies. They’re governed by the law of England and Wales, and the courts of England and Wales decide any dispute. If we give you these terms in another language, the English version is the one that counts.

14. Contact
